These terms apply to freelance video technical services supplied by POPPAGOODS LTD. By accepting a quote, confirming a booking, issuing a purchase order or instructing work to proceed, the client agrees to these terms unless otherwise agreed in writing.

1. Booking confirmation

Dates may be held provisionally but are not treated as fully confirmed until a purchase order number or other written confirmation acceptable to POPPAGOODS LTD has been received. Provisional bookings should be confirmed at least 7 days before the agreed date. If confirmation is not received, POPPAGOODS LTD reserves the right to release the dates.

2. Rates, working hours & additional work

Rates and expected working hours will be set out in the relevant quote, booking confirmation or written agreement. Work outside the agreed scope or hours, including additional days, overtime or materially changed duties, may be charged additionally where agreed with the client.

3. Travel & mileage

Mileage is charged at £0.45 per mile for locations outside a 20-mile radius of WF9 4FQ, unless otherwise agreed in writing. Any other agreed travel costs, parking, tolls or similar expenses may be recharged to the client.

4. Per diems & accommodation

Per diems are charged at £35 per day unless suitable food is provided. Original receipts for per diems will not be issued, although copies or proof of transaction can be provided on request. Where overnight accommodation is reasonably required for a booking, arrangements and responsibility for the cost should be agreed in advance.

5. Cancellation & postponement

If a confirmed booking is cancelled or postponed, POPPAGOODS LTD reserves the right to charge for time that has been reserved and cannot reasonably be rebooked, together with any non-refundable costs already incurred. Any cancellation charge will take account of the notice provided, work already completed and costs committed. Where possible, POPPAGOODS LTD will work with the client to move a postponed booking to alternative dates.

6. Client responsibilities

The client is responsible for providing accurate booking information, reasonable access to the venue or site, appropriate working conditions, required passes or permissions, and any production information reasonably needed to carry out the agreed services safely and effectively. POPPAGOODS LTD is not responsible for delay or inability to perform caused by circumstances outside its reasonable control or by missing or inaccurate information supplied by the client.

7. Equipment & property

Where POPPAGOODS LTD supplies equipment, it remains the property of POPPAGOODS LTD unless expressly sold to the client. The client should take reasonable care of any supplied equipment while it is under the client's control. Any hire, replacement or repair costs arising from client misuse or negligence may be recharged where appropriate.

8. Invoicing & payment

Invoices are payable within the payment period stated on the invoice or otherwise agreed in writing. Queries about an invoice should be raised promptly so they can be resolved without unnecessary delay.

9. Late payment

Overdue qualifying commercial debts may incur statutory compensation and interest under the Late Payment of Commercial Debts (Interest) Act 1998. This may include a fixed compensation charge of £40, £70 or £100 depending on the value of the overdue invoice, plus statutory interest at 8% above the Bank of England base rate for the period the payment remains overdue.

10. Liability

POPPAGOODS LTD will perform the agreed services with reasonable care and skill. To the fullest extent permitted by law, POPPAGOODS LTD will not be liable for indirect or consequential loss, loss of profit, loss arising from third-party equipment or services, or loss caused by circumstances outside its reasonable control. Nothing in these terms excludes or limits liability where it would be unlawful to do so.

11. Force majeure

Neither party will be treated as being in breach where performance is prevented or materially delayed by events beyond reasonable control, including severe weather, transport disruption, venue closure, power or network failure, industrial action, government restrictions or other comparable events. The parties should communicate promptly and make reasonable efforts to minimise disruption.

12. Acceptance & changes

These terms form part of the booking alongside the relevant quote, purchase order and written correspondence. Any different or additional terms must be agreed in writing. If there is a conflict between these terms and a specific written agreement signed or expressly accepted by POPPAGOODS LTD, the specific written agreement will take priority.

13. Governing law

These terms and any dispute or claim arising from them are governed by the laws of England and Wales, and the courts of England and Wales will have jurisdiction, subject to any mandatory legal rights that apply.
